Virtual CFO vs Full-Time CFO: Cost, Scope and When to Switch

Virtual CFO vs Full-Time CFO: Cost, Scope and When to Switch

By SCORE Editorial Team

In the virtual CFO vs full-time CFO choice, a virtual CFO suits companies that need strategic finance leadership a few days a month. Think cash planning, MIS, fundraising and compliance oversight. A full-time CFO fits when material finance decisions arise weekly, the team needs a resident leader, or the law or investors require a whole-time CFO.

Virtual CFO vs Full-Time CFO: What Is the Real Difference?

The difference between a virtual CFO and a full-time CFO is not talent. It is coverage and commitment.

A virtual CFO (also called a part-time, fractional or outsourced CFO) is a senior finance professional or firm on a retainer. They work to a defined scope and a set number of days each month.

A full-time CFO is an employee. They sit in the business every day, lead the finance team and, in many companies, hold a statutory office as Key Managerial Personnel (KMP).

Most growing companies already have an accountant, a tax consultant and a statutory auditor. What they often lack is the person who links those pieces to decisions. Is the next expansion fundable? Why did margins slip? How many months of cash remain? That is the CFO function. The real choice is whether to buy it in full or in the measure you need.

How Do the Two Models Compare Side by Side?

How Much Does a Virtual CFO Cost in India Compared With a Full-Time CFO?

There is no regulated fee or salary scale. The figures below are published market ranges. Treat them as indicative only; your quote will depend on scope, sector and complexity.

Cost itemIndicative published rangeNote
Virtual CFO retainerRoughly ₹15,000 to ₹2.5 lakh+ a monthPublished ranges from Indian providers vary widely with scope, days and entities
Full-time CFO salary₹12 lakh to ₹1 crore a yearAmbitionBox, about 2,800 salaries, updated 24 March 2025
Full-time CFO salary (average)About ₹1.5 crore a yearMichael Page salary tool; excludes bonus and benefits

The ranges are wide for a reason. A CFO at a ₹30 crore family business and one at a pre-IPO company do different jobs.

When you compare, look at total cost to company, not salary alone. A full-time hire also brings a search fee, employer PF and gratuity, a bonus, possible ESOP dilution and, usually, a larger team. A virtual CFO retainer may exclude some items too, such as data clean-up, extra entities or extra days. Ask for those exclusions in writing.

Is a CFO Mandatory Under the Companies Act, 2013?

For some companies, yes. Section 2(51) of the Companies Act, 2013 lists the CFO as Key Managerial Personnel. Section 203 read with Rule 8 of the Companies (Appointment and Remuneration of Managerial Personnel) Rules, 2014 requires whole-time KMP in:

  • Every listed company; and
  • Every other public company with paid-up share capital of ₹10 crore or more.

These companies need a whole-time CFO. A retainer-based virtual CFO cannot fill that statutory post. If the post falls vacant, the Board must fill it within six months. The penalty for default is ₹5 lakh on the company. Each defaulting director and KMP faces ₹50,000, plus ₹1,000 a day for a continuing default, capped at ₹5 lakh.

A private company is not covered by Rule 8. But if it formally appoints someone as “CFO”, that person is KMP under Section 2(51). Tribunal rulings and ROC orders have applied Section 203 conditions to such appointments. So take advice before giving a virtual CFO the CFO title.

Section 134(1) adds a practical point. A company’s financial statements are signed by the CFO “wherever appointed”, along with the directors and company secretary. A virtual CFO who is not appointed CFO does not sign them.

When Is a Virtual CFO the Right Fit?

Five signs point to a virtual CFO:

  1. Monthly numbers arrive late or answer the wrong questions. You get a P&L, not a view of cash conversion, unit economics or branch-level profit.
  2. You plan to raise equity or debt. Investors and lenders want a model, a data room and clean MIS. You may need these before you can justify a full-time hire.
  3. Compliance is split across several advisers. No one owns one calendar across income tax, GST, the Companies Act and FEMA.
  4. Turnover has outgrown finance capability. The accountant who ran a ₹20 crore business may struggle to steer one five times that size.
  5. Family and business finances overlap. Promoter drawings, related-party flows and succession need a neutral hand.

When Should a Company Hire a Full-Time CFO?

Move to a full-time CFO when one or more of these apply:

  1. Finance decisions with material consequences arise every week, not every month.
  2. The finance team has outgrown part-time leadership and needs a resident head.
  3. You are preparing for an IPO, a large debt raise or a regulated-entity licence.
  4. Multiple entities, geographies or acquisitions need daily integration.
  5. The law requires a whole-time CFO, or your board or investors make it a condition.

Many companies use both models in sequence. A virtual CFO builds the systems, MIS and controls. Later, the same team helps recruit the full-time CFO and hands over.

Can a Virtual CFO and an In-House Team Work Together?

Yes, and this is the most common set-up. The virtual CFO sets the reporting framework, reviews the numbers and leads board and lender conversations. Your in-house accountant keeps the books and runs day-to-day payments and filings.

The model also works after you hire a CFO. Some companies keep a specialist team on call for valuation, tax or transaction work the CFO does not do every day.

Checklist: What Should a Good Virtual CFO Engagement Include?

Before you sign, check that the engagement letter covers:

  • A monthly MIS and board pack built around how you run the business
  • A rolling 13-week cash-flow forecast and working-capital tracking
  • Budget versus actual, with variance commentary
  • One compliance calendar across all regulators
  • Investor and lender readiness: model, data room and diligence support
  • A named lead, the days per month and response times
  • What is excluded, and how extra work is priced
  • A quarterly review to scale the scope up or down
  • Clarity that the virtual CFO is not KMP unless the Board formally appoints them

Frequently Asked Questions

What does a virtual CFO do?

A virtual CFO provides strategic finance leadership on a part-time retainer. Typical work includes cash-flow planning, MIS and board reporting, budgeting, compliance oversight and fundraising support. They usually guide your existing accounts team rather than replace it.

How much does a virtual CFO cost in India?

Published Indian market ranges run from about ₹15,000 to ₹2,50,000 or more a month. The fee depends on scope, the number of days, entities and sector complexity. Always compare the quote with the full cost to company of a senior hire, not just salary.

Is a virtual CFO the same as a part-time or fractional CFO?

Broadly, yes. All three terms describe senior finance leadership bought for part of the month. “Outsourced CFO” usually means a firm provides it, often with a team of specialists behind the lead.

Is it mandatory to appoint a CFO in a private limited company?

No. Rule 8 requires whole-time KMP, including a CFO, only in listed companies and public companies with paid-up capital of ₹10 crore or more. If a private company formally appoints a CFO, Section 203 conditions may apply, so take advice first.

Can a virtual CFO sign financial statements?

Not by default. Section 134(1) requires the CFO’s signature only where a CFO is appointed. Otherwise the directors, and the company secretary where there is one, sign.

When should a startup hire a full-time CFO?

Hire full-time when material finance decisions arise weekly or the team needs a resident leader. Other triggers are an IPO, a large debt raise or an investor condition. Until then, a virtual CFO can build the systems a future CFO will inherit.
